Pravati Capital is seeking an experienced and strategic General Counsel to join our growing leadership team. This individual will serve as the company’s top legal officer, providing guidance on a broad range of complex business and legal matters. The General Counsel will work closely with the executive team to anticipate risk, develop legal strategies, and support Pravati’s continued growth in the private investment and litigation finance space.
Key Responsibilities
- Strategic Counsel: Advise the CEO, executive leadership, and officers on all legal matters relevant to a large private investment fund, including contracts, UCCs, securities, compliance, employment, and regulatory issues.
- Risk Management: Identify and anticipate potential legal and regulatory risks; develop strategies and solutions in situations of significant financial, operational, or reputational impact.
- Contracts & Compliance: Draft, review, and approve policies, procedures, contracts, and other legal documents; ensure compliance with applicable laws and regulations, including SEC and related requirements.
- Litigation & Disputes: Represent or oversee the representation of the company in judicial, administrative, and regulatory proceedings, as well as negotiations with external parties.
- Outside Counsel Oversight: Select, manage, and supervise outside counsel engagements; provide direction on litigation, regulatory, and transactional matters.
- Leadership & Team Development: Build, lead, and manage an internal legal team; oversee recruitment, training, performance management, and professional development.
- Collaboration: Partner cross-functionally with business leaders to support corporate strategy, product expansion, and operational goals.
- Professional Development: Stay current on developments in litigation finance law and other relevant areas; represent the company in industry and professional forums.
- Other Duties: Perform additional responsibilities as assigned by executive leadership.
Qualifications
· Education:
- JD from an accredited law school.
- Active State Bar membership in Arizona.
- Bachelor’s degree in finance, business, or related field preferred.
· Experience:
- 15–25 years of progressive legal experience, with substantial background in litigation, complex corporate matters, and investment/finance-related legal issues.
- Prior experience managing a large corporate legal office or serving as General Counsel/Deputy General Counsel.
- Demonstrated success advising senior leadership in high-stakes, fast-paced environments.
· Skills & Competencies:
- Exceptional judgment, negotiation, and communication skills—able to advise both lawyers and non-lawyers at all levels.
- Strong leadership and team management skills; ability to foster a collaborative and high-performance work environment.
- Deep knowledge of contract law, securities law, corporate governance, financial/business analysis, and judicial processes.
- Ability to balance strategic thinking with hands-on execution.
- Strong work ethic, motivated, and adept at managing multiple priorities under pressure.
