ABOUT THE JOB:
Reporting to the EVP, Chief Legal & Compliance Officer + ESG, this role requires exceptional judgment, critical-thinking and problem-solving skills with the ability to proactively use data to innovate.
The key objective of the Director, Legal + M&A is to help drive the strategic direction and roadmap for M&A, finance transactions, and legal best practices to support the business strategy and objectives. Core to this role is serving as a trusted advisor and subject-matter expert to leaders and colleagues to ensure that the Company follows general laws, policies & regulations, and executes on its M&A and growth strategy.
EXPERIENCE AND QUALIFICATIONS
- Expertise in M&A, financing transactions, and corporate governance matters
 - Experience working with public company executives, boards and committees
 - Experience advising on M&A transactions and drafting/reviewing related agreements
 - Collaborates with cross-functional leads to drive and monitor legal progress for a range of M&A and financing projects
 - Drive legal due diligence and deal production towards signing, closing and post-closing matters
 - Experience in assisting in post-acquisition integration initiatives, as well as divesture planning
 - Consult with, as appropriate, external attorneys as needed to execute on the company’s growth goals and related compliance matters
 - Review investor and public communications, and other external documents for compliance accuracy related to 33’ Act requirements, M&A and finance transactions
 - Experience in 34’ Act periodic reporting requirements (e.g., Forms 10-K, 10-Q and 8-K)
 - Responsive to internal customer needs, deal related timelines, and the growth aspects of the company’s strategy
 - Additional duties and functions as assigned
 
EDUCATION AND OTHER QUALIFICATIONS:
- Top Tier Law Firm Experience; In-house legal experience; and 7+ years progressive experience in M&A, commercial/financial transactions, legal and/or other control-related function in a complex, global organizations
 - Juris Doctorate
 - Outstanding judgment and integrity; intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice
 - Mastery of communication skills and styles, both written and verbal. Demonstrated ability to effectively present information to internal and external partners
 - A strong team player attitude, with the ability to build and maintain relationships at all levels, including senior executives, field team leaders and cross-functional peers
 - Excellent analytical and problem-solving skills, business acumen and judgment, strategic legal thinking, initiative, attention to detail and ability to work independently
 - Exceptional interpersonal skills and commitment to professionalism and collegiality
 - Able to pass a background check
 
Compensation : Competitive compensation package commensurate with experience.
