Senior M&A Attorney - In-house Counsel

Description We are looking for an experienced Senior Mergers & Acquisitions Attorney to join our client's dynamic team in Phoenix, Arizona. This role offers the opportunity to work with a Canadian-owned company in the utilities sector, providing expert legal counsel on acquisitions and dispositions, regulatory matters, and commercial agreements. The position is hybrid, requiring occasional travel and collaboration with cross-functional teams to drive the company's growth in renewable energy and related industries. Competitive base salary plus annual bonus and LTIP. The CLO is looking for a candidate with 5-10 years of law firm experience in transactional corporate law / M& A plus 5-10+ years of in-house M& A experience. Responsibilities: - Provide legal guidance on mergers and acquisitions, business development initiatives, and commercial projects. - Draft, review, and negotiate corporate and commercial agreements, including procurement, licensing, and non-disclosure agreements. - Advise on regulatory compliance and legal risk management strategies to support key business objectives. - Collaborate with internal teams to address legal issues impacting operations, human resources, and litigation matters. - Offer leadership and mentorship to entry level legal staff, supporting their detail oriented growth. - Manage external legal counsel relationships and oversee their contributions to specific projects. - Develop practical self-help tools and training for internal stakeholders to ensure legal compliance. - Represent the organization in negotiations, hearings, and other legal proceedings. - Monitor changes in laws and regulations, ensuring proactive adaptation to minimize risks. - Analyze the legal aspects of contracts and transactions to ensure alignment with corporate policies and applicable laws Requirements - Minimum of 10 years of experience as a licensed attorney specializing in corporate law with a focus on M& A. - Proven expertise in mergers and acquisitions, including transaction negotiation and execution. - Strong knowledge of commercial contracts, licensing agreements, and business law. - Bar admission and active membership with relevant legal authorities. - Excellent communication skills, both written and verbal, to effectively convey legal insights. - Demonstrated ability to manage claim administration and resolve complaints with attention to detail. - Familiarity with corporate procurement processes and regulatory compliance requirements. - Ability to work independently while exercising sound and detail-oriented judgment in complex legal matters.
